Adoption of Constitution & Bylaws

The BeCA Executive Committee has finalized the revision of our Constitution (Statuts/Statuten) and Bylaws (ROI/RIO) and wishes to submit the proposed amendments to vote to our members. As a consequence, we are organizing an Extraordinary General Assembly. Several reasons convinced us of the necessity to update our Constitution and Bylaws:

  1. To align our objectives and means with our current activities.
  2. To simplify the holding of our General Assemblies by creating two categories of members: full and associate members.
  3. To ensure that the composition of our elected members at the Executive Committee and Board is in line with current reality.
  4. To better describe the role and responsibilities of the category Vice President and of the Pilot Boards.
  5. To clarify the management of our Social Fund and to bring the rules governing the sub Funds into bylaws.
  6. To clarify our members’ status as well as the services BeCA provides them with.

The EGA will therefore be invited to approve both the Constitution and Bylaws.

You will find the draft texts in annex stressing the main changes. Please note that the EGA will be structured in two parts:

  • Part I will review the draft Constitution for approval. We invite you to review the Constitution prior to the meeting and send any comments to beca@beca.be, so that they can be addressed and hopefully resolved prior to the EGA itself.
  • Part II will review the draft Bylaws.

To be valid, our EGA should be held with 50% of full members attending, of which 75% supporting the proposals (as per our current Constitution).

In case this quorum is not reached, a second EGA will be held on 11 January 2018.

If you cannot be present, you can be represented by another BeCA member who belongs to the same category. For this, you simply need to send a letter or email to Isabelle (beca@beca.be) by 11 December.

Should you plan to attend the EGA, please send us a confirmation email by 11 December.
